Republic Europe, evolved from Seedrs joining forces with Republic in 2021, democratises access to investing, capital raising, and community building. It operates the European arm of Republic’s global ecosystem, including a Digital Merchant Bank, Global Equities Marketplace, and Capitalization Team. The team seeks a Legal and Investment Associate to join this mission.

You will take ownership of the UK pipeline of deals, guiding startups from pre-launch to closing successful campaigns. Negotiate bespoke equity documentation like shareholder agreements and convertible loans to align with minimum terms. Support Investment and Sales teams while liaising daily with entrepreneurs and their counsel.

The ideal candidate is a qualified lawyer with venture capital experience, passionate about entrepreneurship, innovation, and Web3. Expect a top-notch team at one of Europe's hottest global startups, with strong organisational skills and ability to explain complex legal concepts clearly. Daily interactions demand commercial acumen across jurisdictions.

Requirements

Qualified lawyer, ideally with at least 1 year PQE and previous venture capital or corporate transactional experience
Comfortable working across jurisdictions, instructing local counsel where required
Genuine passion for entrepreneurship, innovation and Web3
Solid understanding of the early investment space
Self-starter who can think analytically and come up with pragmatic solutions to deal structuring and operational processes
Strong organisational and time management skills
Excellent interpersonal and communication skills with strong account management abilities

Responsibilities

Take ownership of UK pipeline of deals and guide startups through funding process from pre-launch to closing
Negotiate bespoke equity documentation for startups including shareholder and subscription agreements, articles of association, and convertible loan agreements
Support Investment and Sales teams with commercial and legal queries on startups raising investment
Liaise with entrepreneurs and their legal counsel on a daily basis
Develop understanding of fundraising via Republic Europe, including equity crowdfunding, Web3 tokenisation products, and regulatory framework
