About this role
We are currently seeking a Capital Markets Lawyer to support Axiom clients across leading financial institutions, investment banks, broker-dealers, corporates and other organisations active in the domestic and international capital markets.
In this role, you will provide practical, commercially focused legal advice on a broad range of capital markets transactions, working closely with business units, legal teams, bankers, issuers and external counsel from initial transaction planning through execution and closing.
You will advise on debt, equity and equity-linked products including registered offerings, exempt offerings and private placements while drafting and reviewing offering documents, underwriting agreements, purchase agreements and related transaction documentation.

Requirements
- Qualified lawyer licensed to practise law and in good standing.
- Demonstrated experience advising on capital markets transactions, including registered and exempt offerings of debt, equity and equity-linked securities.
- Experience representing or advising broker-dealers, investment banks, financial institutions, issuers or other market participants on capital markets transactions.
- Strong experience drafting, reviewing and negotiating capital markets transaction documentation and advising on securities law, disclosure, due diligence and closing-related matters.
- Excellent commercial awareness, stakeholder management skills and the ability to deliver pragmatic, business-focused legal advice in a fast-paced, transaction-driven and highly regulated environment.
Responsibilities
- Provide legal advice and support on capital markets transactions for a wide range of domestic and international issuers and debt, equity and equity-linked products.
- Draft, amend, review and advise on a broad range of pre-transaction and transaction documents, including engagement letters, offering documents, underwriting agreements and closing deliverables.
- Advise business units, legal teams and other stakeholders throughout the transaction lifecycle, from initial pitch and structuring discussions through due diligence, documentation, execution and closing.
- Work collaboratively with internal legal teams, associates, partners, bankers, business stakeholders and external counsel to manage transaction processes and coordinate closings.
- Support due diligence reviews, disclosure analysis, transaction risk assessments and securities law considerations in connection with capital markets transactions.
